The clerk is one of the entrepreneur's auxiliaries, endowed with duties worthy of specific discipline in the civil codes of Napoleonic origin. In the states with a continental legal tradition, the term also designates a professional figure within the Parliament. In the Italian legal system, the discipline concerning clerks is outlined by articles 2210-2212 of the civil code. The clerks represent the commercial entrepreneur for all those acts that involve the type of operations for which they are responsible. A limitation to their powers is provided for in the second paragraph of article 2210: they cannot claim the price of goods they have not directly delivered or apply discounts and extensions that are not customary, unless they are expressly authorized to do so. For the business concluded by them, they can receive declarations concerning the execution of the contract and complaints relating to contractual breaches.
