The Companies Act 2006 has removed the statutory obligation for a company to appoint a Company Secretary. It has not removed the statutory duties that a company has to perform. If your company does not have a Company Secretary then this duty has to be performed by a director. This seminar will help to avoid penalties. Suitable for: Company secretaries or directors who do not have a company secretary but still need to oversee company administration.

Course programme

Private companies are no longer required to have a company secretary and almost two thirds of new company registrations are now made without one in place. However, the jobs normally done by the company secretary have not been abolished or reduced. In most cases directors must do them or see that they are done, and in some cases a director’s signature is required. The penalties for getting it wrong can be painful.

It is vital that someone in your company takes responsibility for these essential duties, whether it is a director or some other person. The seminar explains, in a clear and concise way, the essential tasks that must be performed by this key person. It will also be of great help to your company secretary, if one is appointed.

The seminar focuses throughout on real-life situations and is a guide to:

  • The role and importance of company administration
  • Company constitution and articles
  • Registered office
  • The statutory registers
  • Execution of documents and the company seal
  • Filing at Companies House
  • Minutes

The seminar answers the following questions

  • What documents must be signed by a director or company secretary?
  • Who can take responsibility for the company’s administration?
  • What has happened to the Memorandum of a company registered before 1st October 2009?
  • What are the Articles of Association?
  • Which set of model articles is your company’s default provision?
  • How can the articles be changed?
  • What is in your company’s constitution other than the articles?
  • Exactly what information must be given on a company’s notepaper, e-mails and website?
  • What are the rules about the Registered Office?
  • How can the Registered Office be changed?
  • What are the rules about disclosure of a Director’s residential address?
  • Can the public see the statutory registers?
  • What are the statutory registers?
  • After how many years can an entry in the Register of Members be deleted?
  • What details must be entered in the Register of Directors?
  • How are documents executed?
  • How should the company seal be used?
  • What must be filed at Companies House?
  • What are the time limits for filing at Companies House?
  • In what circumstances can the person performing the company’s administration be prosecuted?
  • What are the methods of filing at Companies House?
  • How can I stop company identity theft?
  • What must go into the minutes?
  • Can a director demand that something be left out of the minutes?
