Clients increasingly view employees as the most important ‘asset’ of any target company or business. How the deal is structured also fundamentally affects an employee’s position at law. As employment law becomes ever more complex, it is vital to have a clear understanding of what can and can’t be done in relation to employees. This course will provide delegates with a sound knowledge and skill base to advise effectively in this area.

• Employment rights on termination of employment (wrongful dismissal, unfair dismissal and redundancy)
• Business v share sales
• Transfer of Undertakings (Protection of Employment) Regulations 2006 (‘TUPE’) and their effect
• Employment aspects of due diligence
• Liabilities of the seller and buyer in relation to the acquisition
• Changes to the employment structure contemplated by the buyer
• Specific provisions regarding the acquisition agreement, including key warranties and indemnities
