Course programme

This course is a must for all those who have to advise on the tax aspects of acquisitions and disposals and how they might impact on other aspects of the commerical negotiations. This one day course will take you through all the stages of a typical acquisition, from the initial due diligence to integrating the target company into a group.

The speaker will work through case studies that highlight the possible pitfalls, and enable delegates to better understand how the various taxes interact or, as is often the case, conflict. The course will deal with both the technical aspects of structuring an acquisition or disposal, including stamp duties and VAT, and the practical aspects of negotiating the contract, tax indemnity and warranties.

By attending this course you will receive:
1. Detailed analysis of the tax aspects of acquisitions and disposals put into the context of the transaction as a whole
2. A concise review of all the major tax planning issues
3. Practical advice and guidance on structuring the transaction and drafting the documentation, from pre-sale tax planning advice for the seller right through to post-acquisition planning for the buyer
4. Comprehensive back-up documentation and precedents covering all the tax aspects of an acquisition/disposal
