Do you need to get current with corporate finance regulations? Then this two day course is for you.
Day 1 considers the measures the FSA has introduced or is proposing to deal with the quoted company issues which have arisen due to the difficult market conditions of 2008/09. These issues include rights issue timetables, disclosure of contracts for differences and of short selling, and a major change proposed for the structure of the listing regime later in 2009.
Day 2 considers schemes of Arrangement which have become an increasingly common means of executing takeovers and new Rules have been introduced on 14 January 2008 to set out how the Takeover Code applies to them. Changes to the Code have also taken place in the last couple of years as a result of the implementation of the Takeover Directive and other market driven issues. In addition, the Takeover Code has been updated on competition issues. The current competition regime, which applies to companies doing transactions in the UK, will be covered as well as the procedures of the OFT, the Competition Commission and also the European Commission.
