Business Law and Practice

This award is for the paralegal working in their particular department in Legal Practice, Commerce, Industry or the Public Sector department doing work of a specialised or semi-specialised nature. The Fellowship Award means that a paralegal can further add to their specialist knowledge in that particular area of law and/or practice in which they are involved.

Syllabus

Business Organisations and Personnel

The Sole Trader (including the liabilities thereof, the Business Name, the provisions of The Business Name Act 1985, Passing Off).

The Partnership (including its definition and nature; types of Partners - General Partners, Sleeping & Salaried Partners, Partners by Estoppel and Limited Partnerships - Business Name and Passing Off (see before); Responsibilities and liabilities; Dissolution - Non-judicial and Judicial - and the ability to be able to draft a Partnership Agreement.

Incorporated Companies (including the nature of Incorporated Companies; Types - Limited by Shares, Limited by Guarantee, Unlimited Companies, Private, Public - Formation including procedure, documentation, and the ability to form a Private Company limited by Shares; Types of Shares; Membership - rights and duties of Shareholders - Directors including their appointment, powers, duties, authority, responsibilities and remuneration; Insolvency - receivership and liquidation; Meetings - AGM, Extraordinary GM and resolutions.

Employment and the Law

Employment and the Law (including employed -v- self-employed; vicarious liability; Contract of Employment - verbal/written, written particulars, equal opportunities (including current legislation concerning the disabled, The Rehabilitation of Offenders Act 1974); Discrimination - Race Relations Act 1976 and the Sex Discrimination Act 1975 - Termination (unfair dismissal, UCAS Disciplinary Code of Practice; ACAS example of Disciplinary Procedure and Procedure at a Disciplinary hearing)

Types of Business Contract (including Sale of Goods Act as amended; Bailment (outline only); Hire; Hire Purchase; Agency; Standard Form Contracts.

Assessment

The Fellowship Award is assessed through three substantial 'work based' assignments / projects of some 5000 words each. There are no time limits involved.
